  • AI features;
  • Expert Services and training.

They are governed by the Company’s Master Customer Agreement, or by a separate written agreement between you (or your organization) and the Company, and not by these Terms.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND THAT YOU ARE BOUND BY THEM. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SITE. THE COMPANY’S PRIVACY POLICY EXPLAINS HOW THE COMPANY HANDLES PERSONAL DATA.

YOU AND THE COMPANY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 13(d).

(c) Information You Submit

The Site has forms, for example to request a demo, a trial or product updates. When you submit information through them, the Company handles the personal data you provide as described in the Privacy Policy.

Please do not submit information you consider confidential or proprietary through the Site. If a conversation calls for confidential details, the Company can put a non-disclosure agreement in place first.

You may give the Company ideas, suggestions or other feedback about the Site or the Company’s products and services (“Feedback”). If you do, you do so on a non-confidential basis. You grant the Company an unrestricted, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, transferable and sublicensable right to use the Feedback for any purpose, including to improve the Site and to create products and services.

4. Ownership; Trademarks

(a) Ownership

The Site is owned and operated by the Company. All elements of the Site are protected by intellectual property and other laws, including its visual interfaces, graphics, designs, text, compilations, data, computer code and software (the “Materials”). The Materials are the property of the Company or its licensors.

Except as these Terms expressly permit or the Company authorizes in writing, you may not use the Materials. The Company reserves all rights not expressly granted in these Terms.

(b) Trademarks

“Omnitep,” the Omnitep logos and the Company’s other names, logos and product names are trademarks of the Company.

The Site also shows names and logos of cloud providers, operating systems, databases, AI tools and other third parties. These are trademarks of their respective owners. They are used only to identify compatibility or integrations and do not imply endorsement by, or affiliation with, those owners.

You may not use the Company’s trademarks without its prior written permission.

5. Product Information, Pricing and Roadmap

The Site describes the Company’s products and services for general information only. Content on the Site is not an offer and does not form part of any contract.

Editions, features, prices and availability may change without notice. The terms that apply to a purchase are those in the applicable order, in My Account or in a signed agreement. Some prices, such as production runtime prices, are shown only in My Account.

Statements about capabilities described as in development or planned reflect the Company’s current intentions only. They are not commitments and should not be relied on when making purchasing decisions.

Examples, illustrations and demonstrations on the Site are for illustration only; actual results depend on each project.

6. Third-Party Websites

The Site may link to third-party websites and services, such as social networks and video platforms. They are not under the Company’s control, and the Company is not responsible for their content, policies or practices. You use them at your own risk and subject to their terms.

7. Changes to These Terms

The Company may change these Terms from time to time, on a going-forward basis, by posting the updated version on the Site with a new “Last updated” date. The updated Terms apply to your use of the Site after they are posted.

A dispute is resolved under the version of these Terms in effect when the dispute arose. Except as this Section 7 provides, these Terms may be amended only by a written agreement signed by authorized representatives of you and the Company.

8. Changes to the Site

The Company may modify, suspend or discontinue the Site, or any part of it, at any time, temporarily or permanently, without notice.

The Company is not liable for any such change, suspension or discontinuation, or for any suspension or termination of your access to the Site.

9. Term and Termination

These Terms apply whenever you access or use the Site. If you violate these Terms, your license under these Terms ends automatically, and you must stop using the Site immediately.

Sections 3(b), 3(c) and 4 through 14 survive any termination of these Terms or of your access to the Site.

10. Indemnity

To the fullest extent permitted by law, you are responsible for your use of the Site. The “Company Entities” are the Company and its officers, directors, employees, consultants, affiliates, subsidiaries, licensors, suppliers and agents. You will defend and indemnify the Company Entities against every claim brought by a third party arising out of or related to:

  • (a) your unauthorized use or misuse of the Site;
  • (b) your violation of these Terms or of any applicable law or regulation;
  • (c) your violation of any third-party right, including any intellectual property, publicity, confidentiality or privacy right; or
  • (d) any dispute between you and a third party.

This includes any related liability, damage, loss and expense, including reasonable attorneys’ fees and costs.

The Company may, at its own expense, assume the exclusive defense and control of any matter subject to indemnification by you, without limiting your indemnification obligations. If it does, you will cooperate with that defense.

11. Disclaimers; No Warranties

(a) THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SITE AND ALL MATERIALS AND CONTENT. THIS INCLUDES:

  • (I) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT OR NON-INFRINGEMENT; AND
  • (II) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE OR TRADE.

THE COMPANY DOES NOT WARRANT THAT THE SITE OR ANY MATERIALS OR CONTENT WILL BE UNINTERRUPTED, ACCURATE, COMPLETE, CURRENT, SECURE OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY OF THOSE ISSUES WILL BE CORRECTED.

(b) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU OBTAIN FROM THE SITE OR THE COMPANY ENTITIES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OR IN A SEPARATE WRITTEN AGREEMENT WITH THE COMPANY. YOU ACCESS AND USE THE SITE AT YOUR OWN DISCRETION AND RISK. THE COMPANY IS NOT RESPONSIBLE FOR ANY RESULTING DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE) OR ANY RESULTING LOSS OF DATA.

(c) THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION 11 APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. THE COMPANY DOES NOT DISCLAIM ANY WARRANTY OR OTHER RIGHT THAT APPLICABLE LAW PROHIBITS IT FROM DISCLAIMING.

12. Limitation of Liability

(a) TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SITE OR ANY MATERIALS OR CONTENT. THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA OR ANY OTHER INTANGIBLE LOSS. IT APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY COMPANY ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE COMPANY ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT OR OTHERWISE, IS LIMITED TO ONE HUNDRED US DOLLARS (US$100).

(c) EACH PROVISION OF THESE TERMS THAT LIMITS LIABILITY, DISCLAIMS WARRANTIES OR EXCLUDES DAMAGES ALLOCATES RISK BETWEEN YOU AND THE COMPANY. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS. THE LIMITATIONS IN THIS SECTION 12 APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

13. Dispute Resolution and Arbitration

(a) Informal Resolution First

Before starting an arbitration or court proceeding, you and the Company agree to try to resolve any dispute informally. The party raising the dispute must send the other a written notice (a “Notice of Dispute”) that:

  • (i) identifies the name and contact details of the party making the claim;
  • (ii) describes the nature and basis of the claim; and
  • (iii) states the specific relief sought.

Notices of Dispute to the Company must be sent by certified U.S. mail or courier, signature required, to:

Omni Systems, Inc., Attention: Legal, 2501 Chatham Rd, Ste R, Springfield, IL 62704, USA

A copy must also be sent by email to .

If the dispute is not resolved within thirty (30) days after the Notice of Dispute is received, either party may begin arbitration. Where Section 13(c) or 13(d) permits, either party may instead begin a court proceeding. This Section 13(a) does not apply to actions for urgent injunctive relief under Section 13(c)(iii) or 13(c)(iv).

(b) Agreement to Arbitrate

Except as described in Sections 13(c) and 13(d), you and the Company agree that every dispute, claim or controversy arising out of or relating to the following will be resolved by binding, individual arbitration and not in court:

  • these Terms;
  • the Site;
  • communications between you and the Company.

This agreement to arbitrate covers all claims, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether the claim arises during or after your use of the Site.

The arbitrator, and not any court, decides all disputes about the interpretation, applicability, scope or enforceability of this arbitration agreement, except that a court decides disputes about the enforceability of Section 13(h).

Arbitration uses a neutral arbitrator instead of a judge or jury, is less formal than a court proceeding, may allow more limited discovery than a court, and is subject to very limited review by courts.

YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND THE COMPANY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

(c) Exceptions

Nothing in these Terms prevents either party from:

  • (i) bringing an individual action in small claims court;
  • (ii) pursuing an enforcement action through the applicable federal, state or local agency, where one is available;
  • (iii) seeking injunctive or other equitable relief in court to stop the actual or threatened infringement, misappropriation or violation of its intellectual property rights or confidential information; or
  • (iv) seeking injunctive relief in court in aid of arbitration.

(d) Opt-Out

You may opt out of arbitration within thirty (30) days after you first agree to these Terms. To do so, send a written notice (an “Opt-Out Notice”) to , or by mail to the address in Section 13(a). The Opt-Out Notice must state your full legal name, your email address and that you wish to opt out of arbitration.

If you opt out:

  • the only parts of this Section 13 that apply to you are Section 13(a) (Informal Resolution First) and Section 13(k) (Time Limit for Claims);
  • disputes will be resolved in court as set out in Section 14(b); and
  • the rest of these Terms is not affected.

(e) Arbitration Rules and Administrator

The Federal Arbitration Act governs the interpretation and enforcement of this Section 13. JAMS will administer the arbitration under the following rules, each as modified by this Section 13 (together, the “JAMS Rules”):

  • the JAMS Comprehensive Arbitration Rules and Procedures, or, where they apply under their own terms, the JAMS Streamlined Arbitration Rules and Procedures; and
  • the JAMS Consumer Arbitration Minimum Standards, where they apply.

The JAMS Rules and filing forms are available at www.jamsadr.com. The JAMS Rules govern the payment of all filing, administration and arbitrator fees.

(f) Arbitration Proceedings

The seat of arbitration is Springfield, Illinois. If you are an individual, any in-person hearing will take place in the county where you live, unless you and the Company agree otherwise. In all other cases, any in-person hearing will take place in Sangamon County, Illinois.

If the amount in controversy is US$10,000 or less and no injunctive relief is sought, the party bringing the claim may choose to have the arbitration conducted:

  • solely on written submissions;
  • by telephone or video hearing; or
  • in person as described above.

The amount of any settlement offer made by either party must not be disclosed to the arbitrator until after the arbitrator issues a final award, if any.

The arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which any award is based.

(g) Arbitration Relief

Except as Section 13(h) provides, the arbitrator can award any relief that would be available if the claims had been brought in a court of competent jurisdiction. The arbitrator may award relief only in favor of the individual party seeking it, and only to the extent needed to provide the relief warranted by that party’s individual claim.

The arbitrator’s award is final and binding on the parties, except for judicial review expressly permitted by law. Judgment on the award may be entered in any court having jurisdiction.

(h) No Class Actions

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims.

(i) Mass Arbitration

This Section 13(i) applies if twenty-five (25) or more substantially similar demands for arbitration are filed against the Company by, or with the assistance of, the same or coordinated counsel. In that case, the JAMS Mass Arbitration Procedures and Guidelines apply to those demands, and you and the Company agree to their application.

(j) Changes to This Section

If the Company makes a material change to this Section 13, you may reject the change by sending written notice to the addresses in Section 13(a) within thirty (30) days after the change takes effect. If you do, this Section 13 as in effect immediately before the change continues to apply to disputes between you and the Company.

(k) Time Limit for Claims

To the extent permitted by law, any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the claim arises. Otherwise, the claim is permanently barred.

(l) Severability of This Section

If Section 13(h), or this Section 13 as a whole, is found unenforceable, or if you have sent a valid Opt-Out Notice, then this Section 13 (other than Sections 13(a) and 13(k)) is void. In that case, any action will be resolved as set out in Section 14(b).

If any other part of this Section 13 is found unenforceable, the rest of it remains in effect.

14. Miscellaneous

(a) General Terms

These Terms, together with any Additional Terms (defined below), are the entire agreement between you and the Company about your use of the Site.

You may not assign or transfer these Terms without the Company’s prior written consent. The Company may assign these Terms at any time without notice.

If the Company does not enforce a provision, it does not waive its right to do so later. Headings are for convenience only. “Including” means “including without limitation.”

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions remain in full force and effect.

(b) Governing Law; Venue; Jury Waiver

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles that would apply the law of another jurisdiction. Section 13 is governed by the Federal Arbitration Act.

Subject to Section 13, you and the Company submit to the exclusive personal jurisdiction of the following courts for any lawsuit or court proceeding permitted under these Terms:

  • the state courts located in Sangamon County, Illinois; and
  • the United States District Court for the Central District of Illinois.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY SUCH PROCEEDING.

(c) Privacy Policy

The Privacy Policy explains how the Company collects, uses, stores and discloses personal data. It is a notice and is not part of these Terms.

(d) Additional Terms

Some features of the Site may be subject to additional terms, policies or guidelines (the “Additional Terms”). These are either posted on or linked from the Site, or agreed in connection with those features. The Additional Terms are incorporated into these Terms by reference. If Additional Terms conflict with these Terms, the Additional Terms control for that feature.
